Terms and Conditions - Leyo

These Terms and Conditions ("Terms") govern your access to and use of Leyo, Leyo Meet, Leyo.ai, HeyLeyo.com, our mobile applications, websites, meeting rooms, AI features, communication tools, content, and related services (collectively, the "Services"). The Services are operated by Utopia Technology, LLC ("Leyo," "we," "us," or "our").

By creating an account, joining a Leyo meeting, using the Leyo app, visiting our websites, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. What Leyo Provides

Leyo helps people communicate, collaborate, and build relationships across languages and cultures. Depending on the features available to you, the Services may include:

  • AI-powered chat, voice, video, translation, transcription, captions, and cultural context;
  • Leyo Meet rooms that let users send a meeting link, talk across languages, view live captions and translations, collaborate on shared notes, and receive recaps;
  • shared artifacts such as transcripts, summaries, decisions, action items, files, notes, agreements, and follow-up drafts;
  • personalized post-conversation support, including to-do lists, reminders, flashcards, vocabulary, mini-lessons, resources, and custom learning or connection plans;
  • community, profile, discovery, networking, learning, and relationship-memory features;
  • optional integrations with third-party messaging, email, calendar, productivity, or communication platforms, where available; and
  • other features that we add, test, or release over time.

Some features may be experimental, in beta, or available only to certain users, plans, regions, devices, or languages.

2. Eligibility

You must be at least 13 years old to use the Services. If you are under the age of majority where you live, you may use the Services only with the consent and supervision of a parent or legal guardian.

You may not use the Services if applicable law prohibits you from doing so, if we previously suspended or terminated your access, or if you are located in a region where we do not make the Services available.

3. Accounts and Security

You may need an account to use some parts of the Services. You agree to provide accurate information, keep your account information current, and protect your login credentials.

You are responsible for activity that occurs through your account unless the activity was caused by our failure to use reasonable security measures. If you believe your account has been compromised, contact us promptly at support@leyo.ai.

4. Meeting Links, Guests, and Participant Consent

Leyo Meet may allow hosts to create meeting rooms and invite guests by link, email, message, or other channels. If you host, schedule, invite, admit, record, transcribe, translate, summarize, or otherwise process a conversation through Leyo, you are responsible for:

  • making sure you have the right to invite the participants;
  • notifying participants that AI captions, transcripts, translations, notes, summaries, and follow-up artifacts may be created;
  • obtaining any consent required by applicable law, workplace policy, school policy, contract, or platform rule;
  • choosing what information to share in the room; and
  • managing access to links, files, shared notes, and post-meeting artifacts.

If you join a Leyo meeting, other participants may see your name, profile details, messages, captions, translations, files, and other contributions. Meeting hosts and admitted participants may be able to access artifacts generated from that meeting, such as transcripts, shared notes, action items, and recaps.

Do not use Leyo to secretly record, transcribe, monitor, or summarize people where doing so is illegal or where you do not have required consent.

5. AI Features and Output

Leyo uses artificial intelligence and related technologies to help with communication, translation, transcription, summarization, planning, learning, and follow-up. AI-generated content may be inaccurate, incomplete, delayed, offensive, culturally imperfect, or unsuitable for your situation.

You are responsible for reviewing AI output before relying on it. You should not treat AI-generated translations, captions, summaries, notes, action items, suggestions, plans, cultural explanations, or lessons as professional advice. Leyo is not a substitute for a qualified translator, interpreter, lawyer, doctor, financial advisor, therapist, teacher, immigration advisor, or other professional.

For important matters, including contracts, medical instructions, legal rights, immigration, safety, financial decisions, employment decisions, or binding business terms, you should obtain independent professional review.

6. Translation, Captions, and Cross-Cultural Context

Leyo is designed to reduce language friction, but we do not guarantee that translations, captions, speech recognition, cultural context, summaries, or detected speaker labels will be perfect. Language can be nuanced, regional, informal, emotional, or culturally specific.

You agree that you will not rely solely on Leyo output for high-risk decisions. Where clarity matters, ask the other person to confirm the meaning in their own words.

7. User Content

"User Content" means content you or others submit, upload, create, say, share, or make available through the Services, including messages, voice, video, meeting audio, transcripts, translations, files, notes, images, profile information, community posts, lesson goals, feedback, prompts, and meeting artifacts.

You keep ownership of your User Content. By using the Services, you grant Leyo a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, translate, transcribe, summarize, analyze, modify, and create derivative artifacts from User Content as needed to:

  • provide, maintain, secure, and improve the Services;
  • deliver AI features that you request or enable;
  • generate captions, translations, summaries, notes, tasks, lessons, flashcards, resources, and follow-ups;
  • support shared meeting rooms, chats, community features, and integrations;
  • troubleshoot, prevent abuse, and enforce these Terms; and
  • comply with law.

This license ends when your User Content is deleted from our active systems, except where retention is reasonably necessary for backups, legal obligations, security, dispute resolution, fraud prevention, or legitimate business records.

8. Content Shared With Other Users

Some Services are collaborative. When you share content in a chat, room, meeting, community, group, or integration, other participants may copy, save, screenshot, export, forward, or otherwise use what you share. Leyo cannot control what other users do with content that you choose to share with them.

Use care before sharing confidential, sensitive, personal, regulated, or proprietary information. If you are using Leyo on behalf of a business, school, client, employer, or organization, you are responsible for ensuring that your use is authorized and complies with any applicable confidentiality or data-handling obligations.

9. Shared Notes, Agreements, and Recaps

Leyo may help generate shared notes, decisions, open questions, acknowledged notes, action items, or other artifacts. These artifacts are collaboration tools. They are not legally binding agreements unless all relevant parties separately and clearly agree that a specific document or contract is legally binding.

You are responsible for reviewing meeting artifacts before sending, signing, publishing, or relying on them.

10. Acceptable Use

You agree not to misuse the Services. You may not:

  • violate any law, regulation, contract, intellectual property right, privacy right, publicity right, or other right;
  • harass, threaten, exploit, intimidate, impersonate, dox, defraud, or harm another person;
  • use Leyo to generate or distribute hate, harassment, sexual exploitation, illegal content, non-consensual intimate content, or content involving child sexual abuse;
  • secretly record, transcribe, translate, monitor, or summarize people where consent is required;
  • upload malware, attempt unauthorized access, bypass security, probe systems, scrape at scale, or interfere with the Services;
  • use the Services to send spam, phishing, scams, deceptive messages, or unwanted outreach;
  • misrepresent AI output as human-created where that would be deceptive or harmful;
  • use the Services to make automated decisions that produce legal or similarly significant effects on people without appropriate human review and legal compliance;
  • reverse engineer, copy, resell, or exploit the Services except as allowed by law or a written agreement with us;
  • use the Services to develop a competing product by copying non-public features, data, or outputs; or
  • use Leyo in a way that creates excessive load, security risk, reputational harm, or legal exposure.

We may remove content, limit features, suspend accounts, or terminate access if we believe these Terms have been violated or if needed to protect users, Leyo, partners, or the public.

11. Privacy

Our Privacy Policy explains how we collect, use, share, and protect information. By using the Services, you also agree to our Privacy Policy.

12. Third-Party Services and Integrations

The Services may rely on or connect with third-party services, including providers for cloud hosting, databases, authentication, payments, analytics, notifications, email, AI, speech recognition, translation, communications, app stores, messaging platforms, and customer support.

If you connect a third-party account or use a third-party integration, you authorize Leyo to access, process, and exchange information with that service as needed to provide the integration. Third-party services are governed by their own terms and policies. Leyo is not responsible for third-party services, availability, errors, content, or privacy practices.

Features involving WhatsApp, Telegram, Email, Slack, calendar tools, messaging apps, or other external platforms may be limited, changed, removed, or released later than expected.

13. Payments, Subscriptions, and Trials

Some features may require payment, credits, a subscription, or a paid plan. Prices, plan names, limits, and features may change over time.

If you purchase through Apple, Google, Stripe, RevenueCat, or another payment provider, your purchase may also be governed by that provider's terms, billing rules, refund policies, and cancellation process. Unless required by law or expressly stated, fees are non-refundable.

You are responsible for any taxes, currency conversions, data charges, or third-party fees related to your use of the Services.

We may offer free trials, beta access, credits, referral rewards, or promotional features. We may modify or end these offers at any time unless a separate written agreement says otherwise.

14. Service Changes and Availability

We are actively building Leyo. We may add, change, limit, suspend, or discontinue features at any time. We do not guarantee that the Services will be uninterrupted, secure, error-free, available in every country, compatible with every device, or accepted by every network, platform, workplace, school, or jurisdiction.

Real-time communication depends on many factors outside our control, including internet connection, device permissions, operating systems, browsers, app stores, regional networks, firewalls, third-party providers, and user settings.

15. Intellectual Property

Leyo and its licensors own the Services, including software, designs, interfaces, logos, trademarks, text, graphics, models, workflows, and other materials, except for User Content and third-party content. These Terms do not transfer ownership of Leyo intellectual property to you.

You may not use Leyo's trademarks, branding, screenshots, or marketing materials in a way that suggests endorsement, partnership, or affiliation without our written permission.

16. Feedback

If you provide feedback, suggestions, ideas, bug reports, feature requests, or other comments, you grant Leyo the right to use them without restriction or compensation. We appreciate feedback, but please do not send confidential information as feedback unless we have a written agreement.

17. Copyright and IP Complaints

If you believe content on Leyo infringes your copyright or other intellectual property rights, contact us at support@leyo.ai with enough information for us to investigate. We may remove or restrict access to content and may terminate repeat infringers where appropriate.

18. Export, Sanctions, and International Use

You are responsible for complying with export control, sanctions, import, telecommunications, data protection, and other laws that apply to your use of the Services. You may not use Leyo if you are barred from doing so under applicable sanctions or export laws.

The Services are operated primarily from the United States. If you use Leyo from another country, you understand that your information may be processed in the United States or other locations where Leyo or its service providers operate.

19. Suspension and Termination

You may stop using the Services at any time. You may request account deletion through available account tools or by contacting us at support@leyo.ai.

We may suspend or terminate your access if:

  • you violate these Terms;
  • your use creates risk or harm;
  • we are required to do so by law, platform rules, or a third-party provider;
  • we need to protect the Services, users, or partners; or
  • we discontinue a feature, product, region, or plan.

After termination, some provisions of these Terms will continue, including sections related to User Content licenses needed for retained records, payment obligations, intellectual property, disclaimers, limitation of liability, indemnity, disputes, and general terms.

20. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, Leyo disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, and uninterrupted operation.

We do not guarantee the accuracy of AI output, translations, captions, transcripts, cultural explanations, summaries, recommendations, lessons, plans, action items, or other generated content.

21. Limitation of Liability

To the fullest extent permitted by law, Leyo and its officers, directors, employees, contractors, affiliates, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, business interruption, personal injury, emotional distress, or costs of substitute services.

To the fullest extent permitted by law, Leyo's total liability for all claims relating to the Services or these Terms will not exceed the greater of: (a) the amount you paid to Leyo for the Services in the 12 months before the claim arose; or (b) USD $100.

Some jurisdictions do not allow certain limitations, so some of the above limitations may not apply to you.

22. Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Leyo and its officers, directors, employees, contractors, affiliates, agents, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

  • your use of the Services;
  • your User Content;
  • your violation of these Terms;
  • your violation of law or third-party rights;
  • your failure to obtain required participant consent; or
  • your use of AI output, translations, meeting artifacts, follow-ups, or other generated content.

23. Governing Law and Disputes

These Terms are governed by the laws of [Company State/Country], without regard to conflict-of-law rules. The parties agree to the exclusive jurisdiction and venue of the state and federal courts located in [Company County/State], unless applicable consumer protection law gives you the right to bring claims elsewhere.

Before filing a claim, you agree to contact us at support@leyo.ai and try to resolve the dispute informally. We will try to do the same.

24. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you, such as posting the updated Terms, updating the "Last Updated" date, or sending a notice through the Services. Your continued use of the Services after the updated Terms become effective means you accept the updated Terms.
